- F1The Reporting Person received the shares pursuant to a restricted stock grant from the Issuer under the Issuer's 2013 Equity Incentive Plan. Such shares vest in in five (5) substantially equal installments on the first five (5) anniversaries of the date of grant, subject to certain forfeiture and acceleration requirements as set forth in a Restricted Stock Award Agreement between the Reporting Person and the Issuer, and as set forth in the Reporting Person's Employment Agreement with the Issuer's external advisor, Ashford Inc.
