- F1The reporting person may be deemed to indirectly beneficially own these securities in the following capacities: as Manager of JRJ Management Company, LLC ("JRJ Management") and as trustee and beneficiary of the Stephen Martin Jones Trust V (the "SMJ Trust V"). JRJ Management is the general partner of JRJ Investment Fund, Ltd., which is the direct beneficial owner of 1,450,005 shares of Class A common stock and the SMJ Trust V is the direct beneficial owner of 553,013 shares of Class A common stock (collectively, the "Class A Shares"). Mr. Jones disclaims beneficial ownership of the Class A Shares except to the extent of his pecuniary interest therein.
