- F1On August 4, 2017, the Issuer entered into an Agreement and Plan of Merger and Reorganization, as amended on August 29, 2017 (the transactions contemplated thereby, the "Merger"). In connection with the closing of the Merger, on September 6, 2017, the Issuer issued the Reporting Person 2,957,763 shares of common stock of the Issuer.
