Explanation of responses
- F1Columbus Holding LLC (CHLLC) made a distribution of the Issuer's ordinary shares to its members in accordance with capital account percentages as of June 30, 2016.
- F2Includes shares received as a distribution from CHLLC. In prior reports, the Reporting Person reported indirect beneficial ownership of such ordinary shares previously held by CHLLC.
- F3On July 1, 2016, the Issuer distributed, by means of a dividend, to each holder of its Liberty Global Group ordinary shares (LBTY), one share of the corresponding Class of the Issuer's LiLAC Group ordinary shares for every 8.01482 shares of that Class of the Issuer's LBTY ordinary shares held by such holder as of the distribution record date. As a result, the Reporting Person, his spouse, CHLLC and the Trust received LiLAC Class A and Class C ordinary shares.
- F4The Reporting Person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of the securities for purposes of Section 16 or for any other purpose.
- F5Includes shares distributed to the Reporting Person and his spouse by CHLLC in respect of the Reporting Person's pecuniary interest therein. CHLLC also distributed the Issuer's ordinary shares to non-controlling persons of the Issuer who are not subject to the provisions of Section 16.
- F6Held indirectly through Columbus Holding LLC, of which the Reporting Person has a controlling interest. Accordingly, the Reporting Person may be deemed to be the indirect beneficial owner of the Issuer's securities owned by CHLLC. The Reporting Person disclaims beneficial ownership of these securities, except to the extent of his pecuniary interest therein.
- F7Held by a charitable remainder unitrust (the Trust) of which the Reporting Person is co-trustee and, with his spouse, retains a unitrust interest in the Trust.
