Explanation of responses
- F1One-third (8,334) of the Equity Participation Units (the "Phantom Units") held by the Reporting Person vested on May 13, 2015, and the remaining two-thirds of the Phantom Units vest on the later to occur of the date that the Pony Express Crude Oil Pipeline is initially placed into commercial service by Tallgrass Pony Express Pipeline, LLC or May 13, 2017. On May 28, 2015, pursuant to an election exercised by the Reporting Person, 2,666 Phantom Units were withheld to satisfy his tax withholding obligations related to the vesting of the Phantom Units. The Tallgrass Pony Express Crude Oil Pipeline was placed into commercial service during October 2014. This is not an open market sale of securities.
