Explanation of responses
- F1The Reporting Person was granted 27,700 restricted stock units in connection with his service as an officer of the Issuer. The restricted stock units, which vest in three equal installments beginning on the first anniversary of the grant date, are to be settled in an equal number of shares of Class A Common Stock upon vesting.
- F2The reported amount consists of 27,700 restricted share units. The restricted share units are to be settled in an equal number of common shares of beneficial interest upon vesting.
- F3This nonstatutory stock option to purchase 69,252 shares of Class A Common Stock of the Issuer will vest as to one-third of the optioned shares on each of March 6, 2018, 2019 and 2020, subject to the Reporting Person's committed service through each date.
