- F1Each restricted stock unit represents a contingent right to receive one share of the issuer's common stock.
- F2The restricted stock units vest in three equal installments beginning on the first anniversary of the grant date. At the completion of the Merger of a subsidiary of Circle K Stores Inc. with and into CST Brands, Inc., each award of RSUs will be converted into the right to receive a cash payment equal to the product of (1) the number of shares of CST common stock subject to such award as of the completion of the Merger, and (2) the merger consideration, but such award will remain subject to the vesting terms that applied to such award prior to the completion of the Merger; provided that such award will vest in full upon an involuntary termination of employment without cause, or termination for "Good Reason", or termination due to death, "Disability" or "Retirement."
