Explanation of responses
- F1Mr. Elliott became an officer of Resource Real Estate, LLC ("RRE"), the investment adviser to the issuer, on February 1, 2010. Upon the issuer commencing operations on March 12, 2013, Mr. Elliott became a reporting person subject to the reporting obligation on Form 3 under Section 16 of the Securities Exchange Act of 1934. An initial Form 3 should have been filed on the reporting person's behalf within the applicable Form 3 reporting period following such date. This Form 5 is hereby filed in respect of the initial Form 3 that was not previously filed. Mr. Elliot acquired Class A shares of the issuer on February 13, 2013. This transaction should have been reported on Form 4 within the applicable Form 4 reporting period following such date.
