Explanation of responses
- F1On March 7, 2017 (the "Date of Grant"), the compensation committee of the board of directors of the Company granted the reporting person an aggregate of 16,164 restricted shares (the "Shares") of common stock pursuant to a Restricted Stock Award Agreement. The Shares vest in equal annual installments on each of the first three anniversaries of the Date of Grant, subject to the the reporting person's continued service through each applicable vesting date and subject to accelleration and forfeiture in certain circumstances.
