"Merger Agreement"). Pursuant to the Merger Agreement, on June 23, 2016, Lilis Merger Sub, Inc. was merged (the "Merger") with and into the Issuer
and each share of the Issuer's common stock was converted into the right to receive 4.550916 shares of common stock of Lilis Energy, Inc.
