- F1The Shares were granted to the Reporting Person pursuant to the Issuer's 2012 Stock Incentive Plan.
- F2The Shares were disposed of in connection with, and the net proceeds therefrom will be used for, the payment of taxes by the Reporting Person due relating to the current vesting of restricted stock granted to the Reporting Person under the Issuer's 2012 Stock Incentive Plan.
