Explanation of responses
- F1The options are immediately exercisable.
- F2Each restricted stock unit ("RSU") is the economic equivalent of one share of Eastside Distilling, Inc. common stock. The closing price of EAST on the October 15, 2018 award date was $7.87.
- F3The RSUs will vest in four quarterly $5,000 installments (for a total of $20,000) on the last day of each quarter, beginning on December 31, 2018 and continuing through and including September 30, 2019, the exact number of shares to be issued on each vesting date to be calculated based upon the closing price of the Issuer's common stock on such date, subject to continued service with the Issuer on each respective vesting date.
- F4The warrants were issued for services rendered or to be rendered by Sandstrom Parters Inc. in the amount of $232,500. See footnote 5.
