Explanation of responses
- F1The options have an exercise price of $60.00 per share and the shares subject to the options become exercisable in three equal annual installments on each of August 27, 2027, August 27, 2028 and August 27, 2029, subject to the Reporting Person's continued service through each applicable vesting date.
- F2The options were granted outside of the Issuer's 2016 Equity Incentive Plan as an employment inducement award under New York Stock Exchange Listing Rule 303A.08 and as a material inducement to the Reporting Person entering into employment with the Issuer. The awards were approved by the Compensation Committee of the Board of Directors, consisting solely of independent directors, in reliance on the employment inducement exemption under NYSE Listing Rule 303A.08.
Remarks
The Reporting Person was inadvertently designated as a director in a previously filed Form 4. The Reporting Person was not a director of the Issuer at the time of such filing. This Form 4 reflects the Reporting Person's correct officer status.
