The restricted stock will vest on the earlier of the first anniversary of the effective date of the grant or the day prior to the next regularly scheduled meeting of the Company's shareholders occurring after the effective date of the grant, and so long as such director is a director of the Company on such date, unless vesting is otherwise accelerated or continued pursuant to the terms of the Company's 2014 Incentive Plan or any contract or agreement with the Company.
