Explanation of responses
- F1On February 23, 2017, Warburg Pincus Private Equity IX L.P., a Delaware limited partnership ("WP IX"), distributed an aggregate of 9,999,981 shares of Common Stock of the Company to its partners on a pro rata basis in accordance with their respective ownership interests as determined in accordance with the limited partnership agreement of WP IX (the "Distribution"), with no consideration being paid in connection herewith.
- F2The stockholders are (i) WP IX, including an affiliated partnership, (ii) Warburg Pincus Private Equity X O&G, L.P., a Delaware limited partnership ("WP X O&G"), and (iii) Warburg Pincus X Partners, L.P., a Delaware limited partnership ("WP X Partners"). Warburg Pincus IX GP L.P., a Delaware limited partnership ("WP IX GP"), is the general partner of WP IX. Warburg Pincus X, L.P., a Delaware limited partnership ("WP X GP"), is the general partner of each of WP X O&G and WP X Partners. Warburg Pincus X GP L.P., a Delaware limited partnership ("WP X LP"), is the general partner of WP X GP. WPP GP LLC, a Delaware limited liability company ("WPP GP"), is the general partner of WP IX GP and WP X LP.
- F3Warburg Pincus Partners, L.P., a Delaware limited partnership ("WP Partners"), is the managing member of WPP GP. Warburg Pincus Partners GP LLC, a Delaware limited liability company ("WP Partners GP"), is the general partner of WP Partners. Warburg Pincus & Co., a New York general partnership ("WP"), is the managing member of WP Partners GP. Warburg Pincus LLC, a New York limited liability company ("WP LLC"), manages each of WP IX, WP X O&G and WP X Partners. Charles R. Kaye and Joseph P. Landy are each Managing General Partners of WP and Managing Members and Co-Chief Executive Officers of WP LLC and may be deemed to control the Warburg Pincus entities. Messrs. Kaye and Landy disclaim beneficial ownership of all shares held by the Warburg Pincus entities. The address of the Warburg Pincus entities is 450 Lexington Avenue, New York, New York 10017.
- F4James R. Levy is a director of the Issuer, a Partner of WP and a Member and Managing Director of WP LLC. All shares indicated as owned by Mr. Levy are included because of his affiliation with the Warburg Pincus entities. Mr. Levy disclaims beneficial ownership of all shares held by the Warburg Pincus entities.
- F5In connection with the Distribution, 14,086 shares of Common Stock of the Company were distributed to Mr. Levy in his personal capacity.
