Explanation of responses
- F1Martin S Friedman (the "Reporting Person") is the managing member of FJ Capital Management LLC ("FJ Capital"), which is the Managing Member of Financial Opportunity Fund LLC ("FOF"). FOF sold 9,400 shares of the issuer. Martin S. Friedman, in his capacity as Managing Member of FJ Capital, has voting and dispositive power over the shares of the issuer held by FOF.
- F2(2) Because of the Reporting Person's relationship to FOF and Andrew Jose, the Co-Founder and Managing Partner of FJ Capital (who has direct ownership of 2,089 shares of the issuer, which are included in the 104,792 shares of the issuer reported by Mr. Friedman as indirectly owned), the Reporting Person may be deemed to beneficially own the shares to extent of the greater of his direct or indirect pecuniary interest in the profits or capital account of FOF. Pursuant to Rule 16a-1(a)(4) under the Securities Exchange Act of 1934, as amended (the "Exchange Act"), this filing shall not be deemed an admission that the Reporting Person is, for purposes of Section 16 of the Exchange Act or otherwise, the beneficial owner of any shares beneficially owned in excess of his pecuniary interest
