Remarks
Joymain International Development Group Inc. (the "Company") is not a reporting company pursuant to Section 12 of the Securities Exchange Act of 1934, as amended (the "Exchange Act"). Accordingly, officers, directors and principal shareholders of the Company are not subject to the beneficial ownership reporting requirements of Section 16(a) of the Exchange Act. However, Xijian Zhou (the "Reporting Person") is voluntarily filing this Form 3 to disclose his beneficial ownership of the Company's common stock. On March 12, 2013, pursuant to the terms of a Share Exchange Agreement, Mr. Zhou acquired an aggregate of 750,000,000 shares of the Company's common stock, representing 82.92% of the Company's issued and outstanding shares as of March 12, 2013. On January 12, 2016, Mr. Zhou entered into six Stock Transfer Agreements with six service providers to Mr. Zhou to transfer 13,000,000 shares for $1, 13,000,000 shares for $1, 13,000,000 shares for $1, 13,000,000 shares for $1, 13,000,000 shares for $1 and 8,000,000 shares for $1, respectively, in consideration for the assistance and services provided by the service providers to Mr. Zhou. Following the transfer of a total of 73,000,000 shares of common stock, Mr. Zhou currently owns an aggregate of 677,000,000 shares of the Company's common stock, representing approximately 60.43% of the Company's issued and outstanding shares (based on a total of 1,120,343,373 shares of common stock issued and outstanding as of August 12, 2015, which is the most recent publicly available information of the Company's common stock).
