Explanation of responses
- F1Pursuant to the Purchase Agreement and Plan of Merger, dated as of April 20, 2015 (the "Merger Agreement"), by and among Vanguard Natural Resources, LLC ("Vanguard"), Lighthouse Merger Sub, LLC, Lime Rock Management LP, Lime Rock Resources A, L.P., Lime Rock Resources B, L.P., Lime Rock Resources C, L.P., Lime Rock Resources II-A, L.P., Lime Rock Resources II-C, L.P., LRR Energy, L.P. ("LRE") and LRE GP, LLC, immediately prior to the effective time of the merger, any award of LRE restricted units granted under the LRE GP, LLC Long-Term Incentive Plan that was subject to time-based vesting and that was outstanding and unvested at such time became fully vested and the restrictions with respect thereto lapsed, and such LRE restricted units were deemed to be common units of LRE at the closing of the merger.
- F2Disposition pursuant to the Merger Agreement in exchange for 0.55 common units of Vanguard for every common unit of LRE disposed. On the effective date of the merger, the closing price of the Vanguard common units was $7.98 per unit.
