- F1Shares of the Company's common stock issued under the 2012 Long Term Incentive Compensation Plan and the 2015 Long-Term Equity Incentive Compensation Plan. The price is based on the market closing price on March 11, 2016.
- F2The Reporting Person disposed of these shares of the Company's common stock to the Issuer to satisfy the Reporting Person's tax withholding obligations in connection with the grant of shares that occurred on March 18, 2016.
- F3Performance units issued under the 2012 Long Term Incentive Compensation Plan and the 2015 Long-Term Equity Incentive Compensation Plan. The price is based on the market closing price on March 11, 2016. The performance units are earned at the rate of 10% per quarter commencing with the quarter ending March 31, 2017 and concluding with the quarter ending June 30, 2018.
- F4Each performance unit shall be settled by the issuance of one share of the Company's common stock, at which time the performance unit shall be cancelled. Each performance unit is subject to adjustment as set forth in a performance unit award agreement by and between the Issuer and the Reporting Person.
