Explanation of responses
- F1Warrants were received as compensation for advisory services provided to XRpro Sciences, Inc. (the "Company") in connection with the Company's issuance of securities in a private placement. The warrants were exercised in full by Mr. Taglich on March 3, 2015 for 12,500 shares of the Company's common stock (the "Common Stock").
- F2Mr. Taglich indirectly owns an aggregate of 781,173 shares of Common Stock as follows: (i) 571,428 shares held by the Michael N. Taglich Keogh-Account; (ii) an aggregate of 45,712 shares held by four separate custodial accounts for the benefit of Mr. Taglich's minor children; (iii) 33,865 shares held jointly by Mr. Taglich and his wife, Claudia Taglich; and (vii) 130,168 shares held by the Mike Taglich POA Tag/Kent Partnership F/B/O Garlinghouse/M Taglich B Taglich, with Mr. Taglich having power of attorney over the partnership.
