Explanation of responses
- F1Restricted stock (the "RS") issued pursuant to the terms and conditions of a restricted stock agreement between the Reporting Person and the Issuer. After the Reporting Person had voluntarily agreed to delay equity awards in the prior two year period to benefit the Company, the Compensation Committee granted this RS award to the Reporting Person. The RS vests in two substantially equal installments each of the first and second anniversaries of the grant date of January 18, 2018, subject to continued employment with the Issuer through the applicable vesting date.
