Explanation of responses
- F1On June 28, 2017, Michael Dunn entered into a Stock Purchase Agreement with Goldenrise Development, Inc. (Goldenrise), whereby Dunn acquired from Goldenrise an aggregate; 12,000,000 restricted common stock shares at a $0.033 cost basis per share. Concurrently, Dunn entered into a Stock Purchase Agreement with a secondary purchaser for the sale of 6,000,000 of the aggregate shares at a cost basis of $0.033, Dunn paid 1,500,000 shares to a consultant for services rendered; and distributed 1,000,000 to additional purchasers. The Closing well, of the sales occurred on July 28, 2017.
- F2On July 28, 2017, the Reporting Person made a bonafide gift of 200,000 to his son. The transaction was inadvertently overlooked when the original Form 4 was filed August 2, 2017.
