The Reporting Person is the President and Chief Executive Officer of Sagard Capital Partners Management Corp., a Delaware corporation ("Sagard Management") and the investment manager of Sagard, and is the President and Chief Executive Officer of Sagard Capital Partners GP, Inc., a Delaware corporation ("GP") and the general partner of Sagard. The Reporting Person disclaims beneficial ownership (as defined in Rule 16a-1(a)(2)) of the securities reported herein (except to the extent of his pecuniary interest in such securities), and this report shall not be deemed an admission that the Reporting Person is the beneficial owner of the securities for purposes of Section 16 or for any other purpose.
