Explanation of responses
- F1Vesting of performance phantom unit award previously granted under the Issuer's 2011 Long-Term Incentive Plan. The performance phantom unit award was accelerated upon the change in control of the Issuer's general partner (pursuant to the Agreement and Plan of Merger, dated as of April 29, 2018, by and among Andeavor, Marathon Petroleum Corporation, Mahi Inc. and Mahi LLC) and the reporting person's termination of service. The award will settle in a number of common units between 100% to 200% of the awarded amount following certification by the Board of Directors as to the performance conditions of the performance phantom units.
