Shares of Class A common stock of ESH Hospitality, Inc. held by Extended Stay America, Inc. are immediately convertible into shares of Class B common stock of ESH Hospitality, Inc. on a one-for-one basis under certain circumstances. These securities have no expiration date. The Class B common stock is not traded separately.
