- F2Shares owned by Borneo Resources Ltd., a 10% or greater owner of the Company, and for which Mr. Wong has a 100% ownership stake. Mr. Wong disclaims beneficial ownership of these securities except to the extent of their pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
- F3Shares issued upon the conversion of Promissory Notes issued by the Issuer to the Mr. Wong as part of compensation for a business acquisition.
- F4Shares owned by BW Capital Ventures LLC, a 10% or greater owner of the Company, and for which Mr. Wong has a 50% ownership as of 3/10/25, and 65.25% ownership as of 7/1/25. Remarks
This amendment to Form 5 for Mr. Jack Wong and Borneo Resources Ltd. is being filed to correct a discrepancy on the Form 5 filed on August 18, 2025, related to an overstatement of shares beneficially owned by Mr. Wong of 15,117 shares (or 0.007% of Mr. Wong's total beneficial ownership of shares) attributable to the transfer of shares from Borneo Resources Ltd. to BW Capital Ventures LLC on July 1, 2025.
