- F1Represents 100% ownership of all the Series A preferred stock in connection with a Settlement Agreement dated June 20, 2017, wherein Mr. Hovendick was awarded ownership of the Series A preferred stock in lieu of payment of a debt. Each share of Series A preferred stock carries 100,000 votes and holders of our preferred stock are able to vote together with our common stockholders on all matters upon which common stockholders may vote.
- F2Represents 100% ownership of all the Series B preferred stock in connection with a Settlement Agreement dated June 20, 2017, wherein Mr. Hovendick was awarded ownership of the Series B preferred stock in lieu of payment of a debt. Each share of Series B preferred stock of the Company is convertible into 10 shares of common stock and is entitled to vote ratably together with our common stockholders on all matters upon which common stockholders may vote.
