Explanation of responses
- F1These securities represent an inducement award granted pursuant to a restricted stock unit ("RSU") award agreement with the Issuer. Each RSU represents the right to receive one share of the Issuer's Common Stock. These RSUs vest in four substantially equal annual installments, subject to the Reporting Person's continued service as of the relevant vesting date, with the first tranche scheduled to vest on September 15, 2027.
