- F1The Madison Square Garden Company ("MSG") may be deemed to beneficially own 3,208,139 shares of the Class A common stock, par value $0.01 per share ("Class A Common Stock"), of Townsquare Media, Inc. ("Townsquare") indirectly through its wholly owned subsidiaries. Madison Square Garden Investments, LLC ("MSG Investments"), an indirect wholly owned subsidiary of MSG, directly holds 3,208,139 shares of the Class A Common Stock of Townsquare. MSG Investments is wholly owned by MSG Ventures Holdings, LLC. MSG Ventures Holdings, LLC is wholly owned by MSG Entertainment Holdings, LLC. MSG Entertainment Holdings, LLC is wholly owned by MSG Sports & Entertainment, LLC, which is wholly owned by MSG.
Remarks
This Form 3 is being filed in connection with the acquisition by MSG Investments, a wholly owned subsidiary of MSG, of 3,208,139 shares of the Class A Common Stock of Townsquare pursuant to a Stock Purchase Agreement, dated August 16, 2016, by and among MSG Investments, GE Capital Equity Holdings, LLC, GE Business Financial Services Inc. and AN Capital Corporation.
