F1On May 29, 2014, the Reporting Person and The Grilled Cheese Truck, Inc. (the "Company") entered into a letter agreement pursuant to which the Reporting Person agreed to convert certain debts owed by the Company to the Reporting Person in the aggregate amount of $140,000 into units of the Company, each unit consisting of one share of common stock and a warrant to purchase one share of common stock, at a conversion rate of $1.25 per unit. The units issued by the Company to the Reporting Person contained substantially the same terms and conditions of the Company's private placement that closed on May 29, 2014.
