- F2The Reporting Person has recevied an award of Defferred Stock Units ("DSUs") under the Company's 2017 Omnibus Equity Incentive Plan (the "Plan"). The DSUs become vested on the one year anniversary of the grant date, provided that the Reporting Person continues as a director of the Company through such date and will be settled into shares of Common Stock on the earlier of (a) termination of the Reporting Person's service as director or; (b) change in contol as defined in the Plan and in accordance with Section 409A of the Internal Revenue Code.
