Explanation of responses
- F1Reflects an adjustment to previously reported ownership to exclude 7,193 shares withheld by the Issuer to satisfy tax withholding obligations in connection with the vesting of Restricted Stock Unit ("RSU") awards which is exempt under Rule 16b-3. This inadvertent reporting error included (i) 1,402 shares withheld at $16.19 per share in connection 4,225 RSUs that vested on May 15, 2014; and (ii) 5,791 shares withheld at $35.14 per share in connection with 17,877 RSUs that vested on May 15, 2015.
