Explanation of responses
- F1Reflects an adjustment to previously reported ownership to exclude 3,300 shares withheld by the Issuer to satisfy tax withholding obligations in connection with the vesting of Restricted Stock Unit ("RSU") awards which is exempt under Rule 16b-3. This inadvertent reporting error included (i) 52 shares withheld at $22.57 per share in connection with 157 RSUs that vested on November 16, 2014; (ii) 2,740 shares withheld at $35.14 per share in connection with 8,472 RSUs that vested on May 15, 2015; and (iii) 508 shares withheld at $39.33 per share in connection with 1,563 RSUs that vested on June 1, 2015.
