Explanation of responses
- F1Reflects an adjustment to previously reported ownership to exclude 5,899 shares withheld by the Issuer to satisfy tax withholding obligations in connection with the vesting of Restricted Stock Unit ("RSU") awards which is exempt under Rule 16b-3. This inadvertent reporting error included (i) 1,535 shares withheld at $16.19 per share in connection with 4,774 RSUs that vested on May 15, 2014; (ii) 912 shares withheld at $37.53 per share in connection with 2,500 RSUs that vested on March 25, 2015; and (iii) 3,452 shares withheld at $35.14 per share in connection with 10,619 RSUs that vested on May 15, 2015. The reported ownership also excludes 1,250 shares which were sold prior to when the Reporting Person became a Section 16 Insider and includes 2,638 shares acquired under the Issuer's 2012 Employee Stock Purchase Plan.
