- F1Restricted stock units granted by Issuer pursuant to its 2010 Equity Incentive Plan and qualified under Rule 16b-3(d). Each restricted stock unit represents a contingent right to receive one share of Common Stock of the Issuer.
- F2The restricted stock units will only vest if, within five years from the grant date, the Issuer's Common Stock attains an average price of at least $16.00 per share for 20 consecutive trading days.
