Explanation of responses
- F1On June 19, 2018, the Issuer repurchased 3,125,000 shares of the Issuer's common stock from the Reporting Persons pursuant to a Stock Repurchase Agreement dated May 29, 2018, the execution of which was previously reported as an acquisition of derivative securities on a Form 4 filed by the Reporting Persons om 5/31/2018. The execution of the Stock Repurchase Agreement, and the sale of the shares by the Reporting Persons to the Company, are transactions exempt from Section 16(b) of the Exchange Act.
Remarks
On May 10, 2018, Brandy M. Keen resigned as the Issuer's Vice President and Secretary and as a member of the Issuer's Board of Directors.
