There is no public market for VapAria' s common stock and Chong Corporation did not receive any cash consideration for the gift of these shares. The number of shares of common stock beneficially owned after the disposition includes: (i) 12,640,000 shares of common stock owned of record by Alexander Chong ChinHak LLC, and (ii) 24,950,000 shares held of record by Chong Corporation. Mr. Chong holds voting and dispositive control over securities held by each of these entities.
