Explanation of responses
- F1Pursuant to the merger agreement between the Issuer and CenterState Bank Corporation, each outstanding share of the Issuer's common stock was cancelled in exchange for (i) 0.78 of a share of CenterState common stock and (ii) 2.30 in cash.
- F2Pursuant to the merger agreement, each option was canceled in exchange for a cash payment equal to $23.00 less the per share option exercise price.
