One-hundred percent (100%) of the shares subject to the RSU vest on the earlier of (i) the first anniversary of the date of grant, and (ii) the day prior to the Annual Meeting of Stockholders immediately following the date of the Annual Meeting on which the RSU was granted, in each case provided that the reporting person has remained in continuous service as a Board member through the applicable date.
