- F1This Form 4 is being filed to correct the Date of Earliest Transaction Required to be Reported which was incorrectly stated in the original Form 4 as December 29, 2016. Additionally, on February 2, 2017, a duplicate of the original Form 4 filing was filed in error reporting this transaction. This transaction being reported in this Form 4 is not new or revised from the transaction reported on the original Form 4 filed on February 2, 2017.
- F2The price reported in Column 4 is a weighted average price. The original Form 4 did not disclose the range of prices that the shares were sold at pursuant to this transaction. This Form 4 is being filed to include such ranges. These shares were sold in multiple transactions at prices ranging from $46.10 to $46.522, inclusive. The reporting person undertakes to provide to FCB Financial Holdings, Inc. (the "Issuer"), any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in footnote (2) to this Form 4.
