Explanation of responses
- F1On July 31, 2015, Issuer acquired 1st Portfolio Holding Corporation ("FP Holding") pursuant to that Agreement and Plan of Reorganization dated May 13, 2015 between Issuer, FP Holding, and John Oswald, solely in his capacity as the FP Representative ("Merger Agreement"). Pursuant to the Merger Agreement, FP Holding was merged with and into the Issuer, with the Issuer as the surviving entity. Effective July 31, 2015, each issued and outstanding share of FP Holding common stock was converted into and became the right to receive .4803 shares of common stock of the Issuer.
