Explanation of responses
- F1Includes 40,000 shares of restricted common stock issued pursuant to the Issuer's Incentive Plan that were previously reported by the Reporting Person as Table I securities in the Form 4 filed on April 15, 2014. Vesting of all 40,000 restricted shares was accelerated by the Issuer's Board of Directors in connection with the Reporting Person's resignation, effective as of such resignation.
- F2Shares previously reported as held by New York Recovery Limited Partnership, LLC, which is controlled by American Realty Capital III, LLC ("ARC III"). The reporting person directly or indirectly controls ARC III. Shares held by New York Recovery Limited Partnership, LLC were distributed to ARC III and subsequently distributed pro rata to the ultimate owners of ARC III.
Remarks
The Reporting Person resigned from his position as a Director of the Issuer effective December 29, 2014. As a result, this Form 4 serves as his exit filing.
