Explanation of responses
- F1The options vest in three equal tranches of 2,000,000 upon the Company the Company raising $1,000,000 in financing, the Company raising $5,000,000 in financing and the Company entering into a significant corporate alliance for substantial marketing and selling of the Company's product portfolio. The initial tranche is exercisable at $0.20 per share, the second tranche will be $0.40 per share and the third tranche will be $0.60 per share, which such vesting is subject to continued employment as an executive with the Company as of the vesting date. The expiration date is five years from the date of grant.
- F2On August 14, 2017 and February 2, 2018, World Technology East II Limited ("WTE") acquired 10,000 shares of Series A Preferred Stock and common stock purchase warrants to acquire 2,000,000 shares of common stock on each date. Mr. Rausch and Conroy Cheng each equally control WTE and share dispositive and voting control over such securities.
