Explanation of responses
- F1The securities shown on Line 1 of Table 1 represent securities held of record by Norwest Venture Partners X, LP ("NVP X"). By virtue of his position as co-Chief Executive Officer of NVP Associates, LLC ("NVP Associates"), the managing member of the general partner of NVP X, Matthew D. Howard may be deemed to share voting and dispositive power with respect to such securities. Mr. Howard disclaims any beneficial ownership of all such securities, except to the extent of any pecuniary interest therein.
- F2Subject to continued service on the vesting date, all of the shares underlying the option grant shall vest upon the earlier of (i) the date of issuer's 2016 annual meeting of stockholders or (ii) one year from the date of the grant.
Remarks
The purpose of this Amendment is to correct the exercise price of the stock option on Line 1 of Table II.
