Explanation of responses
- F1The option vests in three equal annual installments beginning on March 8, 2017.
- F2Represents a cash-settled Stock Appreciation Right ("SAR") granted to the reporting person pursuant to the Issuer's 2009 Performance Incentive Plan and the Cash-Settled Stock Appreciation Right Grant Agreement dated February 18, 2016 ("SAR Agreement").
- F3Pursuant to the SAR Agreement, 405,556 SARs vest and are exercisable on each of March 8, 2017, and 2018, and 405,555 SARs vest and are deemed exercisable on March 8, 2019. All SAR exercises will be settled in cash.
