Explanation of responses
- F1CGPM, LLC received 8,000,000 shares according to the terms of an agreement between the Company and CGPM, LLC that CGPM, LLC dated May 1, 2015 and attached as Exhibit 10.8 to the Form 8-K filed on the SEC website by the Company on May 7, 2015. The agreement states that CGPM would receive 8,000,000 shares in the event that the Company completed a major transaction that resulted in a change in management control of the Company. On June 15, 2015, the Company disclosed in an Form 8-K filed on that date that a change in management control had occurred with the appointment of a new CEO and COO and the resignation of the incumbents, effective June 19, 2015. As a result of this transaction, CGPM, LLC holds more than 10% of the Common Shares of the Company.
