Explanation of responses
- F1Restricted stock units convert into common stock on a one-for-one basis.
- F2Includes 566 shares acquired by the Reporting Person on November 15, 2017 pursuant to the Issuer's Employee Stock Purchase Plan in a transaction exempt under Rule 16b-3(c).
- F3Represents the number of shares withheld by the Issuer in satisfaction of tax withholding obligations in connection with the vesting of the restricted stock units listed in Table II.
