Explanation of responses
- F1One-time grant of 500 restricted shares of common stock to new non-management Directors on the date of initial election to the Board of Directors. The restricted shares are scheduled to vest in four equal installments beginning on the date of the 2019 annual meeting of shareholders and continuing on the dates of the next three annual meetings of shareholders.
- F2These shares of common stock are held for the account of STS Master Fund, Ltd. Deer Park Road Management Company, LP ("Deer Park") serves as investment adviser to STS Master Fund, Ltd. Mr. Burg is the Chief Investment Officer of Deer Park. Mr. Burg disclaims beneficial ownership of these shares except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that Mr. Burg is the beneficial owner of these shares for purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose.
