Explanation of responses
- F1The original Form 4 filed on February 3, 2017 contained a clerical error disclosing that the reporting person indirectly owned shares held by BankCap Partners Fund I, L.P. (the "BankCap Partners Fund"), which shares were distributed to the members of the BankCap Partners Fund. This amendment is being filed to delete row 3 of Table I in the original report in its entirety. This transaction is not a new transaction and was previously reported on the original Form 4 filing. This transaction is being restated for the purposes of displaying correctly in the SEC's EDGAR filer system.
- F2The sole member of BCP Fund I Southeast Holdings, LLC ("BCP Fund LLC") is BankCap Partners Fund. The general partner of BankCap Partners Fund is BankCap Partners GP, L.P. ("BankCap Partners GP"). The general partner of BankCap Partners GP is BankCap Equity Fund, LLC ("BankCap LLC"). Brian D. Jones and Scott A. Reed are the managing members of BankCap LLC.
