Explanation of responses
- F1On June 2, 2015, Mr. Barry M. Portnoy and Mr. Adam D. Portnoy, transferred all of the shares of the Reporting Person they then directly owned, which represented 55% and 45%, respectively, of the outstanding shares of the Reporting Person, to Reit Management & Research Trust, a Massachusetts business trust of which Mr. Barry M. Portnoy and Mr. Adam D. Portnoy own 55% and 45%, respectively, of the outstanding shares of beneficial interests. Also on June 2, 2015, the Reporting Person converted from a Massachusetts corporation to a Maryland limited liability company. On June 3, 2015, the Reporting Person distributed all of its shares of the Issuer to Reit Management & Research Trust, its then sole member.
